The terms for using Satezo services.

• Services means our website, software, applications, and any design, development, AI, marketing, or consulting work we provide, including the Exploratory Milestone (EM).
• Client means any person or entity that engages us for paid work.
• Deliverables means the outputs we produce for a Client under an agreed scope.

You agree to use the site lawfully and not to misuse it, including by attempting to gain unauthorized access, disrupting the site, scraping without permission, or infringing others' rights.

Project scope, timelines, fees, and specific terms are set out in a separate proposal, statement of work, or order that you accept. The Exploratory Milestone is a short, fixed-scope engagement intended to produce clarity and a prototype; it is not a commitment to a full build unless separately agreed.

• Fees, schedules, and any deposits are stated in your proposal or invoice.
• Payments are due as invoiced. Late payments may pause work.
• Unless stated otherwise, fees are non-refundable once work has begun, except as required by law.

Our site content, branding, and pre-existing materials remain our property. Upon full payment, and unless your agreement states otherwise, Deliverables created specifically for you transfer to you, while we retain the right to reuse general know-how, tools, and non-client-specific components. We may display completed work in our portfolio unless you request otherwise in writing.

• Provide accurate information, materials, and timely feedback.
• Ensure you have the rights to any content you give us to use.
• Comply with all laws applicable to your business and the Deliverables.

You may not use our Services to create or distribute unlawful, harmful, infringing, or deceptive content, or in any way that violates applicable law or third-party rights.

Our Services may rely on or link to third-party tools and platforms. Their own terms apply, and we are not responsible for their availability, content, or actions.

The site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the site will be uninterrupted, error free, or fully secure. Marketing, SEO, and business results depend on many factors outside our control, and we do not guarantee specific outcomes such as rankings, traffic, revenue, or leads.

To the maximum extent permitted by law, SATEZO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the specific work giving rise to the claim in the three (3) months before the claim.

You agree to indemnify and hold SATEZO harmless from claims, damages, and expenses arising out of your use of the Services, your content, or your breach of these Terms.

Either party may terminate an engagement as set out in the applicable agreement. We may suspend or terminate access to the site if you breach these Terms. Fees for work already performed remain payable.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law rules. Disputes will be subject to the courts of Antipolo City, Philippines, unless applicable consumer law gives you other rights.

We may update these Terms from time to time. The current version will always be posted here with its date. Continued use of the Services means you accept the updated Terms.
